These Terms of Use (the “Terms”) govern your access to and use of the website located at https://ai-vr-motion.vercel.app/ and any successor or related domain operated by AI/VR Motion Picture Guild, Inc. (the “Website”), together with the application forms, email communications, and related online services made available through the Website (together with the Website, the “Services”).
Please read these Terms carefully. They include provisions that affect your legal rights, including a mandatory individual arbitration provision, a class-action waiver, a jury-trial waiver, and a limitation of our liability to you. By accessing or using any part of the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.
The Guild is a professional association founded in 2025 and headquartered in California. The Guild supports creators, technologists, studios, educators, and institutions working across artificial intelligence, virtual reality, and immersive cinema. The Website is an informational and membership-intake resource. Through the Website, the Guild publishes information about the Guild's programs, initiatives, and partners; invites applications for participation in the Global AIFC™ Coalition, Guild membership, and the AI Meets Cinema™ guest-speaker series; describes events and editorial content; and provides points of contact for the Guild.
The Website is not a marketplace, social network, or user-posting platform. The Website does not host public user-generated content, user profiles, discussion boards, or peer-to-peer messaging. The Guild does not collect payments through the Website as of the Effective Date. If and when the Guild makes paid programs, dues, or event registrations available through the Website, those offerings will be governed by additional terms presented at the point of transaction.
To access or use the Services, you must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction of residence, whichever is greater, and capable of forming a binding contract under applicable law. By accessing or using the Services, you represent and warrant that you meet these eligibility requirements. The Services are not directed to children, and the Guild does not knowingly collect personal information from children under the age of thirteen (13). If you believe the Guild has received personal information from a child under thirteen (13), please contact us at hello@aivrmotionpicture.org so that we can investigate and, as appropriate, delete that information.
If you access or use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Subject to your compliance with these Terms, the Guild grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and view the Website and to interact with the Services solely for lawful, informational, and application-related purposes. No other right or license in the Services is granted to you, whether by implication, estoppel, or otherwise.
The Guild may modify, suspend, restrict, or discontinue all or any part of the Services, at any time and for any reason, with or without notice. The Guild is not liable to you or to any third party for any such modification, suspension, restriction, or discontinuation.
The Website makes available the following application and submission forms (each, an “Application Form” and collectively, the “Application Forms”):
Submission of an Application Form does not constitute acceptance by the Guild, does not create a contract between you and the Guild beyond these Terms and the Privacy Policy, and does not entitle you to membership, coalition affiliation, a speaking engagement, or any other benefit. The Guild, in its sole discretion, may accept, decline, defer, or condition any application; may request additional information; may rescind or revoke a prior acceptance; and may establish, modify, or discontinue any program described on the Website.
When you submit information to the Guild through an Application Form, an email, or any other channel made available through the Services, you represent and warrant to the Guild that:

All content made available through the Services, including text, graphics, logos, images, photographs, videos, audio, editorial and newsroom materials, program descriptions, episode content, and the design, structure, and arrangement of the Website (collectively, the “Guild Content”), is owned by the Guild or its licensors and is protected by United States and international copyright, trademark, trade dress, and other intellectual-property laws.
The following marks, among others, are trademarks or service marks of the Guild and may not be used without the Guild's prior written consent: AI/VR Motion Picture Guild™, AIVR MPG™, Global AIFC™, ESC™, and AI Meets Cinema™.
If you believe that content available through the Services infringes your copyright, trademark, or other intellectual-property right, please contact the Guild at hello@aivrmotionpicture.org.
Other than the personal information governed by the Privacy Policy, any material you submit, upload, or transmit to the Guild through the Services, including answers in the Application Forms, written narratives about your organization or experience, portfolio links, biographical statements, questions, feedback, and suggestions (collectively, “Submissions”), will be treated as set forth in this Section 8.
You retain ownership of your Submissions. By submitting a Submission, you grant the Guild a worldwide, non-exclusive, royalty-free, sublicensable right and license to receive, store, reproduce, and use the Submission for the purposes of (i) evaluating your application or inquiry; (ii) administering the Guild's programs, coalitions, events, and communications; (iii) responding to your submission; and (iv) internal recordkeeping and compliance.
With respect to feedback, suggestions, and ideas you voluntarily provide about the Services or the Guild's programs (“Feedback”), you grant the Guild a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, and incorporate the Feedback for any purpose, without any obligation or compensation to you.
The Services include links to, and references to, third-party websites, applications, tools, services, events, publications, and organizations that the Guild does not own or control, including without limitation Blackmagic Design and DaVinci Resolve, Studiovity, third-party news publications, YouTube, and WhatsApp (collectively, “Third-Party Resources”). Third-Party Resources are provided for informational, educational, or connection purposes only.
The Guild does not endorse, sponsor, guarantee, or assume responsibility for any Third-Party Resource or for any content, product, service, advice, representation, warranty, or offering made available through a Third-Party Resource.
Your access to and use of a Third-Party Resource is governed by that third party's own terms of use and privacy policy. You are solely responsible for reviewing and complying with those terms.
The Guild may send you email communications, including confirmations of form submissions, responses to your inquiries, invitations to programs or events, newsletters, and updates about the Guild and its initiatives. By submitting an Application Form or otherwise providing your email address to the Guild, you consent to receive such communications at the email address provided.
You may unsubscribe from promotional or marketing communications at any time using the unsubscribe link in the communication or by emailing hello@aivrmotionpicture.org. The Guild may continue to send you transactional or administrative communications relating to your application, participation, or other direct interaction with the Guild after you unsubscribe from marketing communications.
The Guild operates community channels on third-party platforms, including WhatsApp. Those channels are operated on systems that the Guild does not own or control. Your participation in any such channel is subject to the terms of service and privacy policy of the applicable third-party platform. The Guild may adopt conduct standards or moderation practices for participation in its community channels, and may remove content, restrict access, or terminate participation, at the Guild's discretion.
From time to time the Services may describe the Guild's volunteer programs, Ethical Standards Council™ working groups, and related initiatives. Descriptions of such programs on the Services are informational and do not, without more, create a volunteer, employment, agency, or other relationship between you and the Guild. Participation in any Guild volunteer program, working group, or similar initiative requires separate written acceptance by the Guild.
The Guild is supported in part by sponsors, coalition affiliates, and program partners. The Guild identifies such relationships on the Services where appropriate. The existence of a sponsorship or partnership does not constitute an endorsement by the Guild of the sponsor's or partner's products, services, or positions, except to the extent expressly stated on the Services. The Guild retains editorial control over the content of the Services and over the Guild's programs.
The Guild's collection, use, and disclosure of personal information in connection with the Services is described in the Guild's Privacy Policy, which is incorporated by reference into these Terms.
As of the Effective Date, the Guild does not collect payment through the Website. If the Guild makes paid programs, dues, event registrations, subscriptions, donations, or other paid offerings available through the Services in the future, those offerings will be governed by additional terms (which may include terms of sale, renewal terms, and cancellation terms) presented to you at or before the point of transaction.
The Services and all content made available through the Services are provided “as is” and “as available,” without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, the Guild and its officers, directors, members, employees, volunteers, service providers, sponsors, coalition affiliates, and licensors (collectively, the “Guild Parties”) disclaim all warranties and conditions, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, the Guild Parties do not warrant that (a) the Services will be uninterrupted, secure, or error-free; (b) the Services or any content will be accurate, current, or complete; (c) any application submitted through the Services will be accepted or acted upon; (d) any program, event, workshop, or initiative described on the Services will be offered as described or at all; or (e) any Third-Party Resource will operate as described by that third party.
To the fullest extent permitted by applicable law, in no event will any of the Guild Parties be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, reputation, data, or use, arising out of or relating to these Terms or the Services.
To the fullest extent permitted by applicable law, the aggregate liability of the Guild Parties to you for all claims arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amounts, if any, you have paid to the Guild in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Guild Parties from and against any and all third-party claims, demands, actions, proceedings, damages, losses, liabilities, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to (a) your access to or use of the Services; (b) your breach or alleged breach of these Terms; (c) your Submissions; (d) your violation of any law or regulation; or (e) your violation of the rights of any third party.
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to Section 20 (Dispute Resolution), the state and federal courts located in Alameda County, California have exclusive jurisdiction over any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not required to be resolved through arbitration.
Please read this Section 20 carefully. It affects your legal rights, including your right to bring a lawsuit in court and your right to participate in a class action.
Before initiating any arbitration or lawsuit, you and the Guild agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (each, a “Dispute”) informally. The party asserting the Dispute must send a written notice describing the Dispute and the relief sought to the other party (for the Guild, to hello@aivrmotionpicture.org) and must allow sixty (60) days from receipt of the notice for the parties to attempt in good faith to resolve the Dispute.
If the Dispute is not resolved through informal resolution, you and the Guild agree that the Dispute will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with the AAA's then-current Consumer Arbitration Rules or, if the AAA determines the Consumer Arbitration Rules do not apply, the AAA's Commercial Arbitration Rules. The arbitration will be conducted by a single neutral arbitrator. The place of arbitration is Alameda County, California.
You and the Guild agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general proceeding. The arbitrator may not consolidate the claims of more than one person, may not preside over any form of class, collective, or representative proceeding, and may not award class, collective, or representative relief.
To the fullest extent permitted by applicable law, and whether a Dispute is resolved in arbitration or in court, you and the Guild each knowingly, voluntarily, and intentionally waive any right to a trial by jury with respect to any Dispute.
Notwithstanding Section 20.2, either party may (a) bring an individual action in small-claims court for a Dispute that qualifies for resolution in that court, so long as the action remains in that court and is brought on an individual basis, and (b) seek emergency or preliminary injunctive relief from a court of competent jurisdiction to protect intellectual-property rights, confidential information, or account security.
You may opt out of Sections 20.2 and 20.3 by sending written notice of your decision to opt out to hello@aivrmotionpicture.org within thirty (30) days after you first become subject to these Terms. The notice must include your full name, your address, and a clear statement that you wish to opt out of arbitration and the class-action waiver under the Terms of Use of AI/VR Motion Picture Guild, Inc.
This Section 20 will survive termination of these Terms and termination of your access to the Services. If any part of this Section 20 (other than Section 20.3) is found unenforceable, the unenforceable portion will be severed, and the remainder will continue in full force.
The Guild is based in the United States. The Services are operated from the United States, and the Guild does not represent that the Services are appropriate, available, or lawful for use in any particular location outside the United States. If you access or use the Services from outside the United States, you do so at your own initiative and are responsible for compliance with the laws of your jurisdiction.
The Guild may add, change, limit, or discontinue any feature, program, or portion of the Services at any time, including any Application Form, newsletter, community channel, or program described on the Services. The Guild is not obligated to maintain the Services in any particular form, and is not liable to you for any such change.
The Guild may update or modify these Terms from time to time. The Guild will post the updated Terms on the Website and will update the “Last Updated” date at the top of these Terms. Except as expressly provided below, changes take effect when the updated Terms are posted and apply prospectively to your access to and use of the Services after that date.
If a change is material, the Guild will take commercially reasonable steps to provide advance notice, which may include an email to the address you have provided or a notice on the Website. Your continued access to or use of the Services after the effective date of a material change constitutes your acceptance of the change.
The Guild may suspend, restrict, or terminate your access to the Services at any time, for any reason or no reason, with or without notice. You may stop using the Services at any time.
Upon any termination, Sections 5 through 9 (as to your prior Submissions), 15 through 20, and 24 through 25 will survive.
These Terms, together with the Privacy Policy and any additional terms presented at the point of transaction for a paid program, constitute the entire agreement between you and the Guild regarding the Services.
The failure of the Guild to enforce any provision of these Terms is not a waiver of that provision or of any other provision.
Except as otherwise provided in Section 20.3, if any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force.
You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without the Guild's prior written consent. The Guild may assign these Terms and its rights and obligations under these Terms, in whole or in part, without your consent.
Notices to you may be given by email to the address you have provided, by posting on the Website, or by any other lawful method. Notices to the Guild must be given in writing to hello@aivrmotionpicture.org and, at the Guild's request, in hard copy to its registered address.
You consent to receive communications from the Guild in electronic form. You agree that all agreements, notices, disclosures, and other communications the Guild provides to you electronically satisfy any legal requirement that such communications be in writing.
Except as expressly provided for the Guild Parties in Sections 16, 17, and 18, these Terms do not, and are not intended to, confer any right or remedy on any person other than you and the Guild.
The Guild is not liable for any failure or delay in performance caused by any event beyond its reasonable control, including acts of God, natural disasters, epidemic, war, civil unrest, terrorism, labor disruption, governmental action, internet or utility outage, or failure of any third-party service provider.
Nothing in these Terms creates any partnership, joint venture, employment, agency, or franchise relationship between you and the Guild.
